1. Acceptance of Terms

By accessing or using the SkyPie platform, mobile application, or any related services (collectively, the "Services") provided by SkyPie, LLC ("SkyPie", "we", "us", or "our"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

SkyPie is a platform that allows operators to create and distribute "slices" — digital vouchers, gift cards, or access passes — to users. Users can receive, manage, and redeem slices through the SkyPie mobile application.

3. Eligibility

You must be at least 13 years of age to use our Services. By using the Services, you represent and warrant that you meet this requirement and that all registration information you submit is accurate and truthful.

4. Account Registration

When you create an account with SkyPie, you agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

5. Slices — Digital Vouchers

Slices are digital vouchers issued by operators on the SkyPie platform. By using slices, you acknowledge:

• Slices are subject to validity periods set by the issuing operator
• Slices may have usage limits, quantity restrictions, or geographic restrictions
• SkyPie is not responsible for the goods or services provided by operators in exchange for slices
• Expired slices cannot be reactivated unless otherwise stated by the operator
• Slices have no cash value and cannot be exchanged for cash unless required by law

6. Payments

All payments are processed securely through Stripe. By making a purchase, you authorize SkyPie to charge your payment method for the total amount of your order. All sales are final unless otherwise specified. SkyPie is not responsible for any charges imposed by your financial institution.

7. Operator Responsibilities

If you use SkyPie as an operator, you agree to:

• Honor all slices issued through your account within their validity period
• Accurately represent your products, services, and slice terms
• Comply with all applicable laws and regulations
• Not engage in fraudulent, deceptive, or misleading practices
• Be solely responsible for the fulfillment of offers tied to your slices

8. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Services
• Reverse engineer, decompile, or disassemble any part of the app
• Use automated tools to scrape or extract data from our platform
• Transfer or sell your account or slices to another person without authorization
• Impersonate any person or entity

9. Push Notifications & Communications

By creating an account, you consent to receive transactional communications via email, SMS, and push notifications related to your account activity. You may opt out of marketing communications at any time. Transactional messages (such as slice issuances and account alerts) may still be sent as they are essential to the Services.

10. Intellectual Property

All content, trademarks, logos, and intellectual property on the SkyPie platform are owned by SkyPie, LLC or its licensors. You may not reproduce, distribute, or create derivative works without our express written permission.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. SkyPie does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

12. Limitation of Liability

To the fullest extent permitted by law, SkyPie shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including but not limited to loss of profits, data, or goodwill.

13. Indemnification

You agree to indemnify and hold harmless SkyPie, LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

14. Termination

SkyPie reserves the right to suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Services will immediately cease.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes.
